1. Agreement to Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you and Supportave (“Company”, “we”, “us”). By using our website at supportave.com or engaging any of our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Description of Services

Supportave provides digital services including website development, digital marketing, customer support (live chat, call, and email), virtual assistant services, and GoHighLevel platform management. The specific scope, deliverables, timelines, and fees for any engagement are set out in a separate Service Agreement or proposal.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement to use our services. By using our services, you represent and warrant that you meet these requirements.

4. Service Agreements

All client engagements are governed by a separate Service Agreement that specifies the scope of work, fees, payment schedule, and delivery timeline. In the event of a conflict between these Terms and a Service Agreement, the Service Agreement prevails.

5. Payment Terms

Payment terms are specified in each Service Agreement. Unless otherwise agreed:

• Invoices are due within 14 days of issuance.
• Recurring services are billed monthly in advance.
• Late payments may result in suspension of services until the account is brought current.
• All fees are non-refundable unless otherwise stated in writing.

6. Client Responsibilities

You agree to provide us with accurate information, timely feedback, and any access or materials we reasonably need to deliver your project. Delays caused by late client responses or missing materials may affect delivery timelines and are not our responsibility.

7. Intellectual Property

Upon receipt of full payment for a project, you will own the deliverables created specifically for you under that project. We retain ownership of any pre-existing tools, templates, frameworks, or methodologies used in delivering your project. We may reference your project in our portfolio unless you request otherwise in writing.

8. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the engagement. This obligation continues for two years after the termination of the engagement.

9. Acceptable Use

You agree not to use our website or services to:

• Violate any applicable laws or regulations.
• Infringe the intellectual property rights of others.
• Distribute spam, malware, or harmful content.
• Misrepresent your identity or affiliation.
• Engage in any activity that disrupts or interferes with our services.

10. Disclaimers

Our website and services are provided “as is” without warranty of any kind, express or implied. We do not warrant that our services will meet every specific requirement or that results (such as marketing performance or revenue) will be guaranteed. All performance projections are estimates based on reasonable assumptions.

11. Limitation of Liability

To the maximum extent permitted by law, Supportave’s total liability to you for any claim arising out of or relating to these Terms or our services will not exceed the total fees paid by you to us in the twelve (12) months preceding the claim. We will not be liable for any indirect, incidental, special, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold harmless Supportave, its officers, employees, and contractors from any claims, damages, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

Either party may terminate an engagement by providing the notice period specified in the relevant Service Agreement. We reserve the right to terminate immediately if you breach these Terms or engage in conduct that we reasonably believe may cause harm to us or third parties. Upon termination, all outstanding fees become immediately due.

14. Third-Party Platforms

Some of our services involve third-party platforms (e.g., GoHighLevel, Google, Meta). Your use of those platforms is subject to their own terms and privacy policies, which we do not control. We are not responsible for the availability, performance, or policy changes of third-party platforms.

15. Privacy

Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts located in St. Petersburg, Florida.

17. Changes to These Terms

We may update these Terms from time to time. We will notify existing clients of material changes. Your continued use of our services after changes take effect constitutes your acceptance of the updated Terms.
