Agreement to terms
These Terms of Use (“Terms”) govern your access to and use of the Supportave website at supportave.com (the “Site”) and any services we provide, including outsourced customer support, virtual assistant, and GoHighLevel setup services (collectively, the “Services”).
By accessing the Site or engaging Supportave for Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
If you are agreeing to these Terms on behalf of a company or other organisation, you represent that you have the authority to bind that entity to these Terms.
Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services. By using the Services, you represent that you meet these requirements.
Our services
Supportave provides outsourced customer support across multiple channels (live chat, call, email), dedicated virtual assistants, and done-for-you GoHighLevel setup and automation. Specific scope, deliverables, timelines, and pricing are agreed in a separate written engagement with each client.
We may modify, add, or discontinue features of the Site and Services at our discretion. Where changes materially affect an active engagement, we will give clients reasonable notice.
Accounts and information
If we provide you with account credentials or access to our systems:
- You are responsible for keeping your credentials confidential.
- You are responsible for activity carried out using your credentials.
- You must notify us promptly of any unauthorised access or use.
You agree to provide accurate, current information about yourself and your business when requested, and to keep that information up to date.
Acceptable use
You may not use the Site or the Services to:
- Violate any law or regulation, or infringe anyone’s rights.
- Send unsolicited or unlawful communications (spam) or impersonate another person.
- Upload or transmit harmful code, viruses, or malware.
- Interfere with the operation of the Site or Services, or attempt to gain unauthorised access.
- Scrape, copy, or harvest content or data from the Site by automated means without our written permission.
- Use the Services in ways that harm Supportave, our clients, our personnel, or third parties.
We reserve the right to suspend or terminate access if we reasonably believe these Terms have been violated.
Fees and payment
Where you engage us for paid Services, fees, payment terms, and billing cycles are set out in the engagement we enter with you. Unless otherwise agreed:
- Fees are payable in advance for each billing period.
- Fees are non-refundable except where required by law or expressly stated in writing.
- Late or unpaid fees may result in suspension of Services after appropriate notice.
- You are responsible for any applicable taxes other than taxes on Supportave’s net income.
Client responsibilities
To enable us to deliver the Services, you agree to:
- Provide accurate, complete information about your business, products, and customers.
- Grant the access we reasonably need to tools, systems, and accounts required to deliver the Services.
- Respond in a reasonable timeframe to questions, approvals, and review requests.
- Ensure that any data you share with us has been collected and shared lawfully and that you have the right to share it.
- Treat our personnel professionally and respectfully.
Intellectual property
Our intellectual property
The Site, its design, code, copy, graphics, and all related intellectual property are owned by Supportave or our licensors and are protected by copyright, trademark, and other laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works from any part of the Site or Services without our prior written consent.
Your intellectual property
You retain ownership of all content, brand assets, customer data, and other materials you provide to us. You grant Supportave a non-exclusive, limited licence to use those materials solely to deliver the Services to you.
Feedback
If you give us feedback or suggestions about the Site or Services, we may use that feedback without restriction or compensation.
Confidentiality
In the course of an engagement, both parties may receive confidential information. Each party agrees to:
- Use the other party’s confidential information only as needed to perform under the engagement.
- Protect it with at least the same care it uses for its own confidential information.
- Not disclose it to third parties except to personnel who need to know and are bound by confidentiality obligations.
These obligations continue after the engagement ends, for as long as the information remains confidential.
Third-party services
Our Services may integrate with third-party tools (such as helpdesks, CRMs, payment processors, and the GoHighLevel platform). Your use of those third-party services is governed by their own terms and privacy policies. Supportave is not responsible for the practices of third-party services.
Disclaimers
The Site and Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Supportave disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
We do not warrant that the Site or Services will be uninterrupted, error-free, or completely secure, or that any specific business outcomes (such as conversion rates, revenue, or customer satisfaction levels) will be achieved.
Limitation of liability
To the maximum extent permitted by law:
- Supportave shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Site or Services.
- Supportave’s total aggregate liability for any claim arising out of or related to these Terms or the Services shall not exceed the fees paid by you to Supportave for the Services in the twelve (12) months preceding the event giving rise to the claim.
These limits apply regardless of the legal theory on which the claim is based.
Indemnification
You agree to indemnify and hold Supportave and our personnel harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your violation of any law or the rights of a third party; or (c) the content or data you provide to us, including any customer data we handle on your behalf.
Termination
You may stop using the Site at any time. For paid engagements, termination rights, notice periods, and effects of termination are set out in the written engagement with you.
We may suspend or terminate your access to the Site or Services at any time, with or without notice, if you breach these Terms, fail to pay amounts due, or use the Services in a way that risks harm to us, our clients, or our personnel.
Sections that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification) will continue after termination.
Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Supportave is established, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be resolved in the courts of that jurisdiction, unless a different forum is required by law or agreed in writing between the parties.
Before filing a formal dispute, we ask that you first contact us so we can try to resolve the matter directly.
Changes to these terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Material changes will be communicated by email or by a prominent notice on the Site before they take effect. Your continued use of the Site or Services after the changes take effect constitutes acceptance of the updated Terms.
Miscellaneous
Entire agreement. These Terms (together with any separate written engagement and our Privacy Policy) constitute the entire agreement between you and Supportave regarding the Site and Services and supersede prior agreements on the same subject.
Severability. If any part of these Terms is found unenforceable, the rest remain in effect.
No waiver. Our failure to enforce a provision does not waive our right to enforce it later.
Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control (such as natural disasters, power outages, internet failures, government actions, or labour disputes).
